1. Definitions

1.1 Platform refers to BBallAgency.com, owned and operated by MB Rojaus Projektai.

1.2 User refers to any individual or entity accessing or using the Platform.

1.3 Requester refers to Users who post job offers or service requests on the Platform.

1.4 Provider refers to Users who offer and deliver services through the Platform.

1.5 Services refers to any tasks, projects, or work (digital or physical) exchanged between Requesters and Providers via the Platform.

1.6 Content refers to any text, images, files, or other materials uploaded or shared by Users on the Platform.

1.7 Third Party refers to any individual or entity not directly affiliated with the Platform or its Users, such as payment processors.

1.8 Agreement refers to these Terms and Conditions governing the use of the Platform.

2. User Obligations

2.1 Users must be at least 18 years old and legally capable of entering into contracts.

2.2 Users agree to provide accurate, current, and complete information, including but not limited to their full name, contact details, and payment information, when creating an account.

2.3 Users are responsible for maintaining the confidentiality of their login credentials and for all activities under their account.

2.4 Any fraudulent, abusive, or illegal activity, including but not limited to spamming, hacking, or copyright infringement, is strictly prohibited and may result in immediate account suspension or termination. Users posting job offers must limit postings to legitimate basketball-related opportunities and are prohibited from promoting camps, touring teams, or unrelated services unless explicitly permitted by the Platform.

2.5 Users are responsible for ensuring their use of the Platform complies with all applicable local, national, and international laws.

3. Use of the Platform

3.1 The Platform serves as an intermediary connecting Requesters and Providers but does not guarantee the completion, quality, or legality of Services.

3.2 The Platform is not responsible for verifying the accuracy of job postings, Service descriptions, or User-provided information.

3.3 All communications and transactions between Requesters and Providers must comply with applicable laws (e.g., labor, privacy, and consumer protection laws) and generally accepted ethical standards.

3.4 Any unauthorized use of the Platform, including automated searches, data harvesting, spidering, or actions that impair its performance, is prohibited without prior written approval from the Platform.

4. Subscriptions and Payments

4.1 Access to certain features of the Platform requires a paid subscription (e.g., monthly or annual plans). Subscription fees will be clearly disclosed prior to purchase.

4.2 Subscriptions automatically renew at the end of each billing period (e.g., monthly or annually) at the price agreed upon during subscription, unless cancelled by the User via their account settings prior to the renewal date.

4.3 Payments are processed through Third-Party payment providers, and the Platform is not responsible for any payment processing errors beyond its control. Users authorize the Platform to obtain updated or replacement payment details (e.g., card numbers or expiration dates) from their payment provider.

4.4 The Platform reserves the right to withhold payments or suspend subscriptions in cases of suspected fraud or breach of these Terms, pending investigation, without prior notice.

4.5 Users are solely responsible for any taxes applicable to payments made or received through the Platform.

4.6 The Platform may correct billing errors or mistakes even after payment has been requested or received.

5. Refunds and Dispute Resolution

5.1 Refunds are not available once a User has accessed or used the Platform’s subscription services, regardless of the extent of use. Subscriptions are considered fully utilized upon login or activation.

5.2 Disputes between Users should be resolved through direct communication. The Platform is not obligated to mediate or resolve disputes and reserves the right to refuse involvement at its sole discretion.

5.3 If legal action is required, disputes will be resolved in accordance with Lithuanian law, as outlined in Section 11.

6. Liability and Disclaimers

6.1 The Platform does not guarantee the quality, safety, compatibility, accuracy, or legality of any Services exchanged between Users, and all such warranties are expressly excluded to the fullest extent permitted by law.

6.2 The Platform is not liable for any damages, costs, or losses (direct, indirect, or consequential, including loss of profits, business, or goodwill) resulting from interactions or transactions between Users or from use of the Platform.

6.3 The Platform is not responsible for technical failures (e.g., server outages, software bugs), interruptions, or unauthorized access to User accounts, nor for any damages caused by viruses or malware. Users are responsible for maintaining their own antivirus protection.

6.4 The Platform is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, cyberattacks, or governmental actions.

6.5 Users agree to indemnify and hold harmless MB Rojaus Projektai, its affiliates, and employees from any claims, damages, costs, or legal expenses arising from their breach of these Terms, misuse of the Platform, or submission of Content.

7. Data Protection and Privacy

7.1 Users agree to the collection and processing of personal data as outlined in the Platform’s Privacy Policy and in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where relevant.

7.2 The Platform implements industry-standard security measures, such as encryption and secure servers, but does not guarantee absolute protection against unauthorized access or data breaches.

8. Modifications to Terms

8.1 The Platform reserves the right to update or modify these Terms at any time without prior notice.

8.2 Users will be notified of significant changes via email or a prominent notice on the Platform. Continued use of the Platform after such changes constitutes acceptance of the new Terms.

9. Termination

9.1 The Platform may suspend or terminate User accounts for violations of these Terms, suspected fraud, or any other reason at its sole discretion, without prior notice or liability.

9.2 Users may cancel their subscriptions via account settings, but cancellation will take effect only at the end of the current billing period, with no refunds for unused time. Users remain responsible for any outstanding obligations, such as unpaid fees. Account deletion does not automatically remove User data, which will be retained or deleted in accordance with the Privacy Policy.

10. Intellectual Property

10.1 The Platform, including its design, layout, text, graphics, trademarks, and software, is protected by intellectual property rights owned by MB Rojaus Projektai or its licensors. Users are granted a revocable, non-exclusive, non-transferable license to use the Platform solely for its intended purpose, subject to these Terms.

10.2 All Content uploaded by Users remains their property, but by uploading, Users grant MB Rojaus Projektai a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, display, transmit, or distribute such Content for any purpose, including enforcement of these Terms and promotion of the Platform.

10.3 Unauthorized use of the Platform’s trademarks, logos, or branding is strictly prohibited without prior written consent from MB Rojaus Projektai.

11. Governing Law

11.1 These Terms and any disputes arising from them are governed by the laws of Lithuania, with exclusive jurisdiction in the courts of Vilnius.

11.2 If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.3 A waiver of any breach of these Terms does not constitute a waiver of any other breach.

12. Entire Agreement

12.1 These Terms constitute the entire agreement between the Platform and Users, superseding any prior agreements or understandings. Any additional terms proposed by Users are explicitly rejected unless expressly agreed to in writing by MB Rojaus Projektai.
